Alt5 Sigma: a family entitlement estimated at about $500 million, and a 93 percent loss for other shareholders

What happened

On August 11, 2025 Alt5 Sigma announced a private placement of roughly $1.5 billion in which World Liberty Financial acted as lead investor, paying in its own WLFI tokens, and said Eric Trump would join the board as a director. The transaction therefore converted a family-linked token into a stake in a public company, with a member of the family on its board. The value channel is the token proceeds. World Liberty's disclosed structure entitles DT Marks DEFI LLC, affiliated with the president and certain family members, to 75 percent of WLFI token sale proceeds after agreed reserves and expenses.

What the family received is an estimate rather than a disclosed figure. Applying the 75 percent entitlement, a CNBC analysis relayed by other reporting put the likely direct gain from the Alt5 deal at about $500 million after fees and other expenses. Other investors did much worse: the shares were trading at 68 cents, down 93 percent from a year earlier and just above a 52-week low of 63 cents. In its May 2026 quarterly filing the company, by then AI Financial, reported $10.5 million in cash against recurring operating losses and a working capital deficit of $5.5 million, which it said raised substantial doubt about its ability to continue as a going concern within one year, and disclosed a related-party loan from World Liberty Financial.

Two things cut against the framing. On June 10, 2026 the company said in a release filed with the Securities and Exchange Commission that the conditions behind the going-concern warning had been substantially mitigated, so that warning describes a period rather than a present state. The White House says the president's assets sit in a trust managed by his children and that there are no conflicts of interest. The central figure is also an inference: the disclosures establish the 75 percent entitlement, and the $500 million is an outside estimate built on it.

Evidence status
Documented for the transaction and the 75 percent entitlement; the $500 million figure is an outside estimate, not a disclosed amount
Legal status
No finding of illegality. No enforcement action is on the public record. The going-concern warning was later said by the company to have been substantially mitigated, and the White House denies any conflict of interest
Estimated value
A CNBC analysis, relayed by other reporting, estimated about $500 million in direct gains to the family from this deal, derived from the disclosed 75 percent entitlement to WLFI token sale proceeds. The figure is an estimate and not a disclosed amount
Dates
Alt5 Sigma offering announced 2025-08-11; going-concern warning in the May 2026 quarterly filing; company statement that the conditions were substantially mitigated 2026-06-10
